Specific Arrangements for CEPA
Hong Kong and Macau service suppliers are permitted to establish wholly-owned or joint venture advertising companies in mainland China.
Requirements for Service Suppliers
- Wholly-owned Advertising Company Incorporation
- Identity as a legal entity involved in the advertising business
- Existence for more than 3 years
- Joint Venture Advertising Company Incorporation
- Each copartner is required to be a company engaged in the advertising business
- Each copartner is required to be open and operating for more than 2 years
- Outstanding achievement in advertising operation is required
Required Documents
- Wholly-owned Company Incorporation
- Submission of following documents to competent commercial authority:
- Application for incorporation
- The Opinion on the Examination and Approval of Foreign Investment Advertising Enterprise Project issued by the State Administration for Industry & Commerce ("SAIC")
- Project proposal and feasibility study report
- Investor's certificate of incorporation, certificate of Hong Kong and Macau service supplier
- Investor's credit certificate
- Articles of association
- Submission of the following documents to the Administration for Industry & Commerce:
- Application for incorporation
- Resolutions passed at the shareholders or directors' meetings of the investor
- Project proposal and feasibility report
- Investor's certificate of incorporation
- Investor's credit certificate
- Enterprise Name Approval in Advance Notice
- Joint Venture ("JV") Incorporation
- Submission of the following documents to competent commercial authority:
- The Opinion on the Examination and Approval of Foreign Investment Advertising Enterprise Project issued by the State Administration for Industry & Commerce ("SAIC") or its delegated provincial Administration for Industry & Commerce
- Corporations' contracts and articles of association
- Project proposal and feasibility study report
- Each copartner's certificate of incorporation, certificate of Hong Kong and Macau service supplier
- Each copartner's credit certificate
- Enterprise Name Approval in Advance Notice
- The register of members of the Board of Directors of the joint venture and the appointment letters of the Board members of each copartner
- The preliminary examination opinions of the local competent commercial authority
- Submission of the following documents to the Industrial & Commercial Bureau:
- Application for incorporation
- Enterprise Name Approval in Advance Notice
- Resolutions passed at the shareholders or directors' meetings of the JV
- Project proposal and feasibility report
- Each copartner's certificate of incorporation
- Each copartner's credit certificate
- Advertising management system laid out by the corporation
- The preliminary examination opinions of the local Administration for Industry & Commerce
